M&A Vice President (VP)

Prismore Capital

Remoto

Mission

Co-lead Prismore Capital's buy-side M&A processes, from origination through to execution, working closely with senior team members to identify, evaluate and close investment opportunities.

The VP's mission is to bring strong autonomy and ownership to each deal, in close partnership with the investment team and portfolio companies, while also supporting eventual sell-side mandates.

Modelled on a typical private equity investment profile, this is a senior role within Prismore Capital's M&A team, where the VP is expected to drive processes forward independently and contribute directly to the success of each transaction.

Responsibilities

Buy-side (primary focus)

  • Originate opportunities and build a proprietary deal pipeline;
  • Lead screening, investment thesis development and due diligence, coordinating external advisors;
  • Build and stress-test valuation and financial models;
  • Structure and negotiate transactions (SPA, SHA) through to signing and closing;
  • Prepare investment committee materials and present recommendations.

Sell-side (supporting role)

  • Prepare or coordinate sale materials (teaser, IM, management presentations, data room);
  • Support due diligence, buyer Q&A, financial analysis and valuation.

Requirements

  • Master's degree in Finance, Engineering or Economics (MBA or CFA a plus);
  • Approximately 5–6 years of relevant experience in private equity, investment banking or M&A advisory. A buy-side focus is preferred, though candidates with strong sell-side experience will also be considered;
  • Demonstrated ability to run M&A processes autonomously, from origination through to deal execution;
  • Proven ability to work independently and take ownership of complex, multi-stakeholder deal processes;
  • Ability to evaluate investment opportunities, grounded in a deep understanding of business models, identification of upsides and risks, and a clear read of competitive dynamics and key value drivers, both in the underlying business and in how the transaction is structured;
  • Proven track record in valuation and financial modelling, with the ability to build and stress-test complex models independently and defend key assumptions;
  • Strong business sense and commercial judgment, with a clear focus on value creation potential, combined with excellent communication and negotiation skills to engage senior stakeholders, advisors and counterparties involved in a deal;
  • Genuine intellectual curiosity about industrial, engineering and technology-driven sectors: Prismore Capital's portfolio is significantly exposed to these areas, and comfort engaging with technical and operational complexity is a real advantage;
  • Fluent in English (written and spoken);
  • Based in Porto, Portugal.
